1. Who these terms are between

These terms of service ("Terms") form an agreement between:

• You — the individual or company using Helmself.
• Us — Suupur Pte. Ltd. (UEN: [to be filled by lawyer during review]), registered in Singapore, operating the Helmself service at helmself.com.

By accessing or using Helmself, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the service.

2. What Helmself is

Helmself is a web-based corporate-secretarial document generator. Given company, director, and shareholder details you provide, Helmself produces properly formatted DOCX and PDF documents covering common Singapore corporate actions — board resolutions, shareholder resolutions, directors' registers, and similar.

Helmself is not a substitute for legal advice. The documents we generate are templates filled with your data. For legally significant matters, you should consult a lawyer or corporate secretary qualified in Singapore law.

3. Eligibility

To use Helmself you must:

• Be at least 18 years old (or the age of majority in your jurisdiction).
• Be a director, shareholder, or authorised representative of a Singapore-registered company (or intend to act on behalf of one).
• Provide accurate, current information.
• Not use the service for any purpose prohibited by applicable law or by these Terms.

4. Account responsibilities

• Keep your credentials secure. You are responsible for all activity that occurs through your account. Use a strong password on your Google account and enable two-factor authentication.
• Provide accurate data. Documents Helmself generates are based on the data you enter. Incorrect data produces incorrect documents.
• Comply with law. You warrant that your use of Helmself complies with Singapore corporate and securities law, and that you have authority to make the resolutions and company actions you generate documents for.
• One account per person. Don't share a single Helmself account across multiple individuals.

5. Subscription and billing

Helmself is offered on a subscription basis.

• Pricing — current pricing is displayed at helmself.com/#pricing. Pricing is in Singapore Dollars (SGD) and is exclusive of Goods and Services Tax (GST). GST is added if and when Suupur Pte. Ltd. becomes GST-registered (annual revenue threshold SGD 1,000,000 — not currently met).
• Base subscription — annual fee covering your first company, all resolution types, unlimited document generation.
• Add-on company subscriptions — additional annual fees for each additional company on your account.
• Anniversary renewal — subscriptions auto-renew on the anniversary of your sign-up. We send a reminder email 14 days and 3 days before renewal.
• Payment — charges are made via Stripe using the payment method on file. We accept major credit and debit cards. PayNow / bank transfer is not currently supported.
• Failed payments — if a renewal payment fails, Stripe will retry automatically per its dunning schedule. If all retries fail, your subscription enters a past_due state. Documents remain accessible; new document generation is paused until payment succeeds. After 30 days of past_due, the subscription is cancelled.

6. Refunds and cancellation

• Cancellation — you may cancel your subscription at any time via the in-app "Manage subscription" link or by emailing support@helmself.com. Cancellation takes effect at the end of the current billing period; you retain access until then.
• Refunds — annual subscriptions are non-refundable after the first document has been generated. If you cancel within the first 14 days of your initial subscription AND have not yet generated any documents, we will issue a full refund on request. After that, no refunds.
• Downgrade — removing add-on companies during a billing period does not pro-rate a refund; the removal takes effect at the next anniversary.

7. Your content, our platform

• You own the data you enter — company details, director and shareholder particulars, document content. You grant us a limited licence to process this data solely to provide the service (see Privacy Policy section 3).
• We own the platform — the Helmself service, its templates, its code, its brand. You may not reverse-engineer, scrape, bulk-download templates, redistribute, or create derivative works from our platform or templates.
• Generated documents are yours — documents Helmself produces from your data are your property. You may use, modify, and share them freely. The underlying template we used to generate them remains our property.

8. Acceptable use

You agree not to use Helmself to:

• Generate fraudulent corporate documents or documents containing false information.
• Impersonate another person or entity.
• Generate documents for a company you have no authority to act for.
• Probe, scan, or test the vulnerability of our service without prior written consent.
• Interfere with, disable, or overload our service via automated means, denial-of-service attacks, or excessive API calls.
• Reverse-engineer, decompile, or attempt to extract source code from the service.
• Use the service in violation of export-control or sanctions regulations.

Violation of this section may result in immediate account termination without refund.

9. Third-party services

Helmself relies on third-party subprocessors (Supabase, Stripe, Resend, Vercel, Fly, Google, and others — listed in the Privacy Policy). Availability, performance, and data handling of those third-party services are beyond our direct control. We select providers carefully and maintain Data Processing Agreements with each.

10. Disclaimers

• Service provided "as is" — Helmself is provided without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements.
• Not legal advice — the documents Helmself generates are templates. They are not legal advice. For any matter of legal significance, consult a qualified Singapore lawyer or corporate secretary. We are not liable for errors, omissions, or adverse consequences arising from use of our templates.
• Data accuracy — you are responsible for the accuracy of all data you input. Documents are only as accurate as their input.

11. Limitation of liability

To the fullest extent permitted by Singapore law:

• Our total cumulative liability to you for any claim arising out of or relating to these Terms or your use of Helmself is limited to the fees you paid us in the 12 months immediately preceding the event giving rise to the claim.
• We are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, business interruption, loss of data, or loss of goodwill, even if we were advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold us harmless from any claim, loss, damage, or expense (including reasonable legal fees) arising out of:

• Your use of the service in violation of these Terms or applicable law.
• Your infringement of any third-party rights.
• Any false, misleading, or fraudulent information you enter into the service.

13. Termination

• By you — cancel anytime per section 6. Cancellation does not automatically delete your account or data; use the in-app account-deletion option or email us per the Privacy Policy.
• By us — we may suspend or terminate your account if you violate these Terms, fail to pay, or engage in activity that poses a security or legal risk. We will provide notice where reasonably possible.
• Effect of termination — upon termination, your access to the service ends. Your data is retained per the Privacy Policy retention schedule. You may request data export or deletion at any time.

14. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to conflict-of-laws principles.

Any dispute arising out of or relating to these Terms or your use of Helmself shall first be addressed by good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to mediation in Singapore under the Singapore Mediation Centre's mediation procedure. If mediation fails, the dispute shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) under its rules, with a single arbitrator, in Singapore, in English.

You and Suupur Pte. Ltd. each submit to the exclusive jurisdiction of the courts of Singapore for any matter not subject to arbitration (including applications for interim relief).

15. Changes to these terms

We may update these Terms from time to time.

Material changes — changes to fees, refund policy, service description, acceptable use, limitation of liability, dispute resolution, or governing law — will be notified to you by email (to the address on your account) at least 30 days before taking effect, with a link to the new version and a plain-language summary of what changed.

Non-material changes — typos, formatting, clarifications that don't alter the legal meaning — are made without notice, but are tracked in our internal git history.

If you do not agree to a material change, you must stop using the service before the change takes effect. Continued use after that date constitutes acceptance.

Every version of these Terms is tracked in our version-control system; prior versions are retrievable on request at support@helmself.com.

16. Miscellaneous

• Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding Helmself.
• Severability — if any provision of these Terms is held invalid, the remaining provisions continue in effect.
• No waiver — our failure to enforce a provision is not a waiver of our right to enforce it later.
• Assignment — you may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to any successor entity (e.g., in an acquisition) with notice to you.
• Notices — notices to you may be sent to the email address on your account. Notices to us should be sent to support@helmself.com.
